1、因薪資報酬委員會需對公司董事、經理人及監察人之薪資報酬提出建議，該委員會成員必須具有專業性及獨立性，且公司董事會於委任時，即應衡酌成員所備資格及經驗能否對公司相關人員之薪資報酬提出適當之建議；另亦應自行建立相關機制防止公司營業秘密外洩(如簽訂保密協定等)。

2、另薪酬委員會職權辦法第8條規定，薪資報酬委員會於實際運作時如有需要，可請董事及相關部門經理人員等列席會議並提供相關必要之資訊；又為使薪資報酬委員會擁有足夠之資源以利行使職權，上開辦法第11條規定，薪資報酬委員會得委任專業人員提供意見或為查核，並由公司負擔費用。
